Corporate Paralegal
Location: Ridgeland, Mississippi
Employment Type: Full-Time, On-Site
Salary Range: $68,000-82,000 DOE

Service Specialists is recruiting an experienced Corporate Paralegal for a well-established, publicly traded company headquartered in central Mississippi. This position will support the company’s legal and executive leadership with contracts, corporate governance, board matters, regulatory filings, legal records, and other corporate legal responsibilities.
The ideal candidate will be highly organized, discreet, detail-oriented, and comfortable managing confidential matters in a fast-paced corporate environment. Key Responsibilities

  • Draft, review, revise, organize, and track contracts, amendments, renewals, confidentiality agreements, and other legal documents.
  • Maintain the company’s contract-management system and monitor important deadlines, renewals, obligations, and required approvals.
  • Assist with preparing agendas, resolutions, written consents, board and committee materials, and accurate meeting minutes.
  • Maintain official corporate minute books, governance records, organizational documents, policies, and committee charters.
  • Support required federal, state, SEC, and other corporate or regulatory filings.
  • Prepare and maintain formation documents, annual reports, registrations, qualifications, and other records for subsidiaries and affiliated entities.
  • Track filing deadlines and help ensure the company and its entities remain in good standing.
  • Assist with corporate transactions, acquisitions, due diligence, and the organization of closing documents.
  • Coordinate document requests and communicate with executives, internal departments, outside counsel, auditors, regulators, and other outside parties.
  • Support legal research and prepare correspondence, summaries, reports, and presentations.
  • Maintain organized electronic and physical legal files while protecting confidential and privileged information.
  • Assist the legal department with litigation files, claims, legal holds, investigations, and responses to information requests as needed.
  • Perform other corporate legal and administrative duties assigned by legal leadership.

Qualifications

  • Minimum of three years of paralegal, corporate legal, contract-administration, or closely related experience.
  • Demonstrated experience working with commercial contracts and legal documents.
  • Experience preparing board or committee minutes, resolutions, consents, and governance materials.
  • Familiarity with corporate filings, entity records, annual reports, and regulatory deadlines.
  • Paralegal certificate, associate degree, or bachelor’s degree preferred; equivalent professional experience will be considered.
  • Experience in an in-house corporate legal department or a law firm’s corporate, transactional, securities, banking, healthcare, or business practice is strongly preferred.
  • Public-company, SEC-filing, subsidiary-management, or merger-and-acquisition experience is a plus.
  • Strong proofreading, writing, organizational, and document-management skills.
  • Proficiency with Microsoft Word, Excel, Outlook, Adobe Acrobat, and electronic document-management systems.
  • Ability to manage multiple assignments, meet deadlines, exercise sound judgment, and work independently.
  • Exceptional discretion and professionalism when handling confidential business and legal matters.
